REFUND POLICY
Fees are refundable only in the event of Program cancellation. If a registrant cancels, fees paid are transferable to a future course within one year.
Our Ethical Framework
We invite you to re-enter this experience of Embodiology® as a humble and capable participant. Embodiology® practices contain proprietary information; what you have learned should not be replicated for your students, as the cultural foundations to the work need to journey with the experience and not be dismembered. We extend to you the resistance to corporeal plagiarism that has plagued practices that are beyond the western worldview.
EXCLUSIONS
Dr. S Ama Wray/Embodiology® are not liable for claims for loss or damage of personal property, the results of cancellation of the Embodiology® Summer Course, missed days or sessions due to technical or broadcast issues, or personal physical injury as a result of your participation.
DISCLOSURE
Embodiology® is a registered trademark, owned by Rendil Holdings. It is recognized that knowledge stemming from West Africa forms an integral part of this work; as a result, royalties are returned to the arts community in Kopeyia Village, Ghana. Post workshop, participants are required to cite this important source when relaying any information concerning Embodiology® training.
NON DISCLOSURE
I. THE PARTIES. This Non-Disclosure Agreement, hereinafter known as the “Agreement”, effective upon clicking the read and agreed online prompt, is by and between Dr. S. Ama Wray/Embodiology® hereinafter known as “1st Party”, and, YOU hereinafter known as “2nd Party”, and collectively known as the “Parties”.
For the purpose of preventing the unauthorized disclosure of confidential and proprietary information, you agree that Dr. S Ama Wray shall have sole ownership of the contents of this workshop which is protected under copyright law and registered for trademark with the US Patent and Trademark Office. The Parties agree as follows:
II. UNILATERAL AGREEMENT
This Agreement shall be Unilateral, whereas, Dr. S. Ama Wray/ 1st Party shall have sole ownership of the Confidential Information with YOU/ 2nd Party being prohibited from disclosing confidential and proprietary information that is to be released by the 1st Party.
III. RELATIONSHIP
Party A’s relationship to Party B can be described as “The Instructor” and Party B’s relationship to Party A can be described as “The Student.”
IV. DEFINITION
For the purposes of this Agreement, the term “Confidential Information” shall include, but not be limited to, documents, records, information and data (whether verbal, electronic or written), drawings, models, apparatus, sketches, designs, schedules, product plans, marketing plans, technical procedures, manufacturing processes, analyses, compilations, studies, software, prototypes, samples, formulas, methodologies, formulations, product developments, patent applications, know-how, experimental results, specifications and other business information, relating to the 1st Party’s business, assets, operations or contracts, furnished to the other Party and/or the other Party’s affiliates, employees, officers, owners, agents, consultants or representatives, in the course of their work contemplated in this Agreement, regardless of whether such Confidential Information has been expressly designated as confidential or proprietary.
Confidential Information also includes any and all work products, studies and other material prepared by or in the possession or control of the other Party, which contain, include, refer to or otherwise reflect or are generated from any Confidential Information.
However, Confidential Information does not include:
(a) information generally available to the public;
(b) widely used programming practices or algorithms;
(c) information rightfully in the possession of the Parties prior to signing this Agreement; and (d) information independently developed without the use of any of the provided Confidential Information.
V. OBLIGATIONS. The obligations of the Parties shall be to hold and maintain the Confidential Information in the strictest of confidence at all times and to their agents, employees, representatives, affiliates, and any other individual or entity that is on a “need to know” basis.
VI. TIME PERIOD. The bounded Party's(ies) duty to hold the Confidential Information in confidence shall remain in effect until such information no longer qualifies as a trade secret or written notice is given releasing such Party from this Agreement.
VII. INTEGRATION. This Agreement expresses the complete understanding of the Parties with respect to the subject matter and supersedes all prior proposals, agreements, representations, and understandings. This Agreement may not be amended except in writing with the acknowledgment of the Parties.
VIII. SEVERABILITY. If a court finds that any provision of this Agreement is invalid or unenforceable, the remainder of this Agreement shall be interpreted as best to affect the intent of the Parties.
IX. ENFORCEMENT. The Parties acknowledge and agree that due to the unique and sensitive nature of the Confidential Information, any breach of this Agreement would cause irreparable harm for which damages and/or equitable relief may be sought. The harmed Party in this Agreement shall be entitled to all remedies available at law .
X. GOVERNING LAW. This Agreement shall be governed under the laws in the State of California.
XI. AUDIO/VISUAL RECORDING
The use of all recording devices including smart phones, video cameras, voice recorders or other audio and/or visual recording apparatus is strictly prohibited in accordance with non-disclosure and copyright law without the express written permission of Dr. S Ama Wray.
PARTICIPANT CONSENT AND RELEASE
As a participant in this Embodiology® workshop/class I am granting permission to Dr. S. Ama Wray to utilize my appearance in connection with Embodiology® for the purpose of research and documentation, in any and all manner and media and all rights of every kind and character whatsoever in perpetuity. I hereby authorize Dr. S. Ama Wray to photograph and record (on film, digital, video, tape, or otherwise), my participation in the workshop, to edit the same at her discretion. I further acknowledge that Dr. S. Ama Wray owns all rights to the results of my participation in connection herewith.
I agree that my participation in the Embodiology® workshop may be edited at your sole discretion. I consent to use of my name, likeness, voice and biographical material about me in connection with publicity and related institutional promotional purposes. I expressly release you, your agents, employees, licensees and assignees from and against any and all claims which I have or may have for invasion of privacy, defamation or any other cause of action arising out of production, distribution, broadcast or exhibition of the videotaped footage.
COVID-19 WAIVER OF LIABILITY AND INDEMNITY AGREEMENT
IN CONSIDERATION for using Bellingham Unitarian Fellowship facilities, the undersigned hereby agrees as follows:
1. I acknowledge the contagious nature of Coronavirus/COVID-19 and that it can lead to severe illness and death.
2. I acknowledge that the BUF and many other public health authorities still recommend practicing social distancing to reduce the spread of COVID-19.
3. I acknowledge that Embodiology®/BUF may require that I download proof of COVID-19 vaccination. Current policies are available here
4. I am not experiencing any symptoms of illness such as cough, shortness of breath or difficulty breathing, fever, chills, repeated shaking with chills, muscle pain, headache, sore throat, or new loss of taste or smell.
5. I do not believe I have been exposed to someone with a suspected and/or confirmed case of COVID-19.
6. I have not been diagnosed with COVID-19 and not yet cleared as non-contagious by state or local public health authorities.
7. I will notify Embodiology® / BUF of any changes, specifically regarding line items #4 - #6, related to COVID-19 from the period this document is dated and signed to my arrival at CSUCI.
I hereby voluntarily assume all risks related to exposure to COVID-19 at CSUCI and agree to indemnify and hold Embodiology® / BUF and its directors, officers, employees, volunteers and agents harmless regarding any and all causes of action, claims, demands, damages, costs, expenses and compensation arising from any COVID-19 infections that are in any way connected to my participation at BUF or participation in any Embodiology® / BUF program or event.
